By using the said mobile application and website, you acknowledge that you have read and understood the terms of this Assignment of Intellectual Property Rights clause and agree to be bound by its provisions. If you do not agree to these terms, you must not use the said mobile application and website.
This clause shall be construed in accordance with and governed by the laws of India. Any disputes that may arise under or in connection with this clause shall be subject to the exclusive jurisdiction of the courts of Kolkata.

Confidential Information:

The term "Confidential Information" means any and all information (whether or not marked as confidential or proprietary), whether in written, graphic, oral, electronic or
other form (including but not limited to copies thereof, samples, models, tools, material, etc.), whether directly or indirectly disclosed by or on behalf of the said Company, the said mobile application, or one of its Affiliates (the "Disclosing Party") to you (the "Receiving Party").

In particular, Confidential Information includes, without limitation, any inventions or research and development information, trade secrets, know-how, information related to technology, engineering or other data, processes, techniques, intellectual property, and proprietary materials, planning or marketing information, manufacturing, procedures or strategies or any financial or other business information (e.g. information about suppliers, costs, pricing, research and development programs, customers etc.) of the Disclosing Party (including information of, and information disclosed by, one of its Affiliates) even if this information has only an indirect relation to the Contractual Project.

You, the Receiving Party, acknowledge and agree that all information, data, trade secrets, intellectual property, and proprietary materials, including any material that has been related to the said mobile application and services are confidential and proprietary to the Company. You agree to treat such information with the utmost confidentiality and to not disclose, reproduce, distribute, or use such information for any purpose other than the intended use of the said mobile application.
You further agree not to decompile, reverse engineer, or otherwise attempt to obtain the source code of the said mobile application or any proprietary software associated with it. Unauthorized use of any nature or any disclosure of confidential information may result in legal action and damages.

The provisions on confidentiality shall not apply to any Confidential Information of a Disclosing Party that:

a) has received approval for release by prior authorization in writing by the Disclosing Party and/or;

b) is, at the time of disclosure, already in the public domain and/or becomes publicly known through no fault of the Receiving Party and/or;

 

c) is gathered by the Receiving Party, from a Third Party other than the Disclosing Party in the absence of breach of either obligations of confidentiality clause by such Third Party and/or;

d) is been informed to the Receiving Party prior to disclosure as evidenced by tangible records and/or;

e) is independently structured by the Receiving Party without any support of the Disclosing Party's Confidential Information and/or;

f) revelation due to a court's decision or a public authority.

In case paragraph (f) applies, the Party constrained to disclose Confidential Information shall set the limit of disclosure to the necessary and shall keep informed the other Party as soon as practicable.

The Receiving Party agrees to bear the burden of the proof of any one condition provided for in paragraphs (a) to (e) hereinabove.

Confidential Information shall not include:

(i) information which forms a part of more general information previously available to the Receiving Party or its approved Affiliates, or
(ii) information which has been reported in the public literature in general terms that do not specifically correspond to the Confidential Information.

The term "Affiliate" means any association, corporation, or other entity that indirectly or directly controls, is controlled by, or is under control of the common nature with any of the Parties, where "control" means the possession of the majority of common and/or extraordinary stock and/or voting rights of such association, corporation, or other entity. Shall further be considered as "Affiliates" any directors, officers, employees or the expressly authorized representatives or agents of such corporations, associations or other entities.

The term "Third Party", for the purposes of this Clause, means all individual and legal entities other than the Parties and the Affiliates.

Said mobile application reserves the right to assign its rights and responsibilities under these Terms, without such assignment altering the Terms and without any prior notice to you. Our failure to take action regarding a breach, whether yours or another  party's, on any occasion does not waive our right to take action in response to similar breaches in the future.

The laws of India, regardless of any conflict of laws rules, shall govern these Terms, in addition to your and our adherence to them. In the event of any legal
